A defects liability period (DLP) is the time after completion when the contractor must repair, at its own cost, defects caused by faulty workmanship or materials. In India, 12 months from the completion certificate is the usual convention in works contracts, and a two-year period is suggested for large EPC contracts. Write the start date, the definition of a defect, response times and the retention release into the contract.

How long is a defects liability period?

There is no statutory number; the contract sets it. Two public-sector documents show the conventions you can borrow, although private owners negotiate their own.

  • The General Conditions of Contract for PWD Works, 2023 (clause 17, as published by the Puducherry PWD) cover defects, shrinkage or other faults that appear within twelve months of the completion certificate, and six months for works costing ₹10 lakh and below, other than roads.
  • The Department of Expenditure's Manual for Procurement of Works (Second Edition, 2025) says a defects liability period of two years may be specified for EPC-type contracts, and that a latent defect period beyond the DLP may be added for design or engineering defects that show up later.

For MEP work, 12 months is the common starting position, with some owners asking for longer on plant that takes a full seasonal cycle to prove, such as chillers and cooling towers. A longer period costs the contractor money, and it will appear in the price. Decide which systems justify it. The glossary entry on DLP gives the short definition.

What should the clause cover, and what should it exclude?

The clause fails most often on the word "defect". Our article on the DLP debate covers the disputes. This table sets out the terms to write down.

TermWhat to writeWhy it matters
Start dateThe date of the completion or taking-over certificate, with partial handovers dated separatelyA DLP that starts at installation wastes months before the plant is even in use
Definition of defectFailure caused by defective design by the contractor, materials, workmanship or non-conformity with the specificationSeparates a defect from wear, misuse and owner decisions
ExclusionsNormal wear and consumables (filters, belts, lamps), misuse, unauthorised modification, damage by others, force majeureAvoids arguments over what the contractor is not meant to fix
Maintenance dutyWho does routine maintenance during the DLP, and the scheduleIf the owner skips it, the contractor will argue that failures are neglect
ResponseTime to acknowledge, to attend and to rectify, by severity (safety, production stop, minor)Without times, "promptly" means whatever the contractor wants
Rectification costContractor bears labour, materials, access and testing; re-test after repairOwner should not pay for the fix or the re-test
ExtensionA repaired item gets a fresh DLP from the date of repair, or the DLP is extended by the downtimeStops a repeat failure falling out of cover
Failure to attendOwner may have the work done by others and recover the cost from retention or securityGives the owner a remedy that does not need a court

How do retention and performance security link to the DLP?

The DLP has force because money is held against it. The Department of Expenditure's manual describes the usual arrangement in public works.

  • Performance security of three to ten per cent of the contract value, kept valid until 60 days beyond the completion of all obligations including the DLP or warranty, and returned within 60 days of the DLP's end.
  • Retention or security deposit, usually five per cent of each running bill. Half is released at the taking-over certificate, and the other half 60 days after the DLP or warranty period ends, or at final payment, whichever is earlier. Where different systems have different DLPs or warranties, the latest expiry governs.
  • Defects Liability Certificate. The manual says a contract is not completed until one is issued, only once, when the contractor has finished all its obligations. It also suggests a no-claim certificate before the guarantee is released.

These are government norms, not law for private contracts. A private owner can adopt them, or negotiate a smaller retention with a bank guarantee in its place. Whatever you agree, do not release the last half before the DLP ends and the defect register is closed. The PWD clause makes the same link: the security deposit is not refunded before the twelve months have run.

How do OEM warranties fit in?

The DLP binds the contractor. An OEM warranty binds the manufacturer to the owner, and usually starts at dispatch or at commissioning, depending on the supplier. Check which one, because a warranty counted from dispatch can leave a few months fewer than the DLP. Make the contractor responsible for coordinating warranty claims during the DLP, and require the warranty certificates, serial numbers and service contacts in the handover file. After the DLP, the warranty remains, but the owner must now chase the OEM, so the AMC should include that role. See AMC and maintenance and our guide to what an AMC contract should contain.

How do you enforce a DLP in practice?

  1. Keep a defect register from day one, with date, location, description, photograph, severity and the date the contractor was told.
  2. Give notice in writing. The PWD clause works on receipt of a written notice, after which the contractor makes the defect good at its own expense. A phone call does not start the clock.
  3. Record the response. Note the date of acknowledgement, attendance and completion against the response times in the contract.
  4. Ask for the cause. A one-line root cause from the contractor shows whether the fault is isolated or a pattern, and whether other units share it.
  5. Use the fall-back. If the contractor does not attend, give a final written notice with a date, then have another firm do the work and recover the cost from retention or security, as the PWD clause permits. Keep the invoice.
  6. Hold a joint inspection before the DLP ends, close or carry forward open items, and issue the certificate only when the register is clean.

Latent defects, such as undersized cables or a design error, may show up after the DLP. Whether you can claim then depends on the contract wording and the law of limitation, so ask a lawyer to review the clause on latent defects before you sign.

How Secured Engineers helps

We design in-house and carry electrical, fire fighting, HVAC and plumbing under one MEPF contract, so one party owns the DLP across the disciplines instead of four vendors pointing at each other. We file the Fire NOC, CEIG and DISCOM net-metering approvals ourselves. Our offices are in Noida (Delhi NCR) and Ludhiana, and we have worked on 535+ projects across 18+ states, with 89.77% repeat clients.

If you hold a draft contract or a BOQ, send it and we will review the scope, exclusions and handover documents against the terms above. Start with turnkey MEPF contracting, check the budget in the MEPF cost calculator, then message us on WhatsApp, call +91 70099 85817, or ask for a free proposal.

Frequently asked

What is a normal defects liability period for MEP work in India?

Twelve months from the completion certificate is the common convention, and it is the period in the PWD general conditions for most works, with six months for small works. The Department of Expenditure's works manual says two years may be specified for EPC contracts. The contract decides, so write the period, the start date and any longer period for specific systems into it.

When does the DLP start: installation, commissioning or handover?

Write it as the date of the completion or taking-over certificate, which should come after testing and commissioning and the handover of documents. A start at installation or delivery burns the period before the plant is in use. Where parts are handed over separately, give each part its own date, and make the final DLP end with the last of them.

What is not covered by a DLP?

Usually normal wear and consumables, damage from misuse or unauthorised modification, damage by others, force majeure and failures that come from skipped routine maintenance. List these exclusions in the contract and say who does the maintenance during the DLP. A clear list prevents most arguments, because the contractor cannot call every failure an owner fault.

How much retention can I hold until the DLP ends?

The Department of Expenditure's manual describes retention usually at five per cent of each running bill, with half released at taking-over and half 60 days after the DLP or warranty, and performance security of three to ten per cent. Those are government norms. Private owners often use a smaller retention plus a bank guarantee, but should keep a meaningful sum until the defect register is closed.

What can I do if the contractor does not fix defects?

Give written notice with a final date, then have another firm do the work and recover the cost from retention or the security deposit, if your contract allows it, as the PWD clause does. Keep the notices, the invoices and photographs. If the sum is larger than the retention, the contract's dispute clause, such as arbitration, applies, and a lawyer should advise.
